Cross-border deals

A buyer or a supplier in a market you do not know.

For a company that needs a counterparty abroad, or has capacity it cannot sell at home. NVA finds the counterparty, qualifies it, structures the transaction and runs it until it closes.

01

What NVA takes on

  • Buyer search: finding and qualifying buyers abroad for existing production or capacity.
  • Supplier search: finding and qualifying suppliers for a product, component or service, inside and outside the EU.
  • Structuring: pricing, terms, logistics, documentation and the sequence of a first transaction.
  • Running the deal: NVA stays in the process until the contract is signed and the first delivery or invoice is through.

02

What NVA does not do

  • Hold inventory or client funds. Settlement goes through bank instruments such as a letter of credit or documentary collection, or through escrow.
  • Introduce securities, broker property or supply workers. These are licensed activities and are referred to licensed providers.
  • Take a payment from the other side of a transaction without disclosing it to you.

03

How counterparties are qualified

Before an introduction, NVA checks the registry entry, the people behind the company, the production or purchasing capacity, references in the same category and, where the transaction size warrants it, proof of funds. What NVA has verified and what it has not is stated in writing.

04

What is disclosed, and when

Counterpart identities are disclosed after the mandate and the non-circumvention terms are signed. Until then you see the category, the market, the volume band and NVA's assessment.

05

The commercial model

Mandates are priced per case, in writing, before work starts. The usual forms:

  • Retainer plus success fee. The success fee is a percentage of first-year contract value and steps down with size.
  • Introduction only, at a flat fee, where you run the transaction yourself after the introduction.
  • NVA as principal, where NVA buys and resells and earns the margin instead of a fee.

Non-circumvention is limited to the parties NVA introduced and runs for a defined period, typically twenty-four months. It follows the ICC model contract for occasional intermediaries.

06

Markets

Current corridors run between the EU, the Western Balkans and Asia. Ljubljana is the base; the work is wherever the counterparties are.

Who runs it

Every mandate has a named lead on the NVA side and a written scope before work starts.
